Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the CherryIt platform, website, and related services (collectively, the "Service") operated by CherryIt ("we", "us", or "our").
By registering an account, purchasing a voucher, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

Accounts & Eligibility
To use the Service you must:
- Be at least 18 years old (or the age of legal majority in your jurisdiction).
- Provide accurate, complete, and current registration information.
- Keep your login credentials secure and not share them with others.
- Notify us immediately if you suspect unauthorised access to your account.
You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Influencer Terms
If you register as an influencer, the following additional terms apply:
- Customer value. All deals must offer genuine value to customers — the voucher price must be meaningfully lower than the real market value of the offer. For example, a voucher sold for €5 should grant access to something worth at least €10–12. Campaigns that do not provide a clear advantage to the buyer will be rejected or removed.
- Campaign accuracy. All information you provide about a campaign — including the offer, the partner business, and the voucher price — must be truthful and accurate. You are responsible for obtaining the partner business's agreement before creating a campaign.
- Active campaign limits. The number of active campaigns you may run at one time is governed by your subscription tier (Free: 1; Starter: 5; Pro: unlimited).
- Payout eligibility. You must complete Stripe Connect onboarding and provide all required identity and tax information to receive payouts. Payouts are processed according to Stripe's standard schedule.
- Campaign cancellation. You may pause or close a campaign at any time. Customers who have already purchased a voucher from a cancelled campaign are entitled to a full refund.
- Compliance. You are solely responsible for disclosing any commercial relationship with a partner business to your audience in accordance with applicable advertising standards and platform rules (e.g. Instagram, TikTok).
- Account verification. Before creating your first campaign, you must connect and verify at least one active social media account (Instagram or TikTok). CherryIt reserves the right to set minimum follower or engagement thresholds. Campaigns cannot be published until account verification is complete.
- Campaign review. Every campaign is subject to review by the CherryIt team before it is published. We reserve the right to reject or request changes to any campaign that does not meet our guidelines, including the customer value requirement above. You will be notified of the outcome and may resubmit after making the requested changes.

Customer & Voucher Terms
When you purchase a voucher through CherryIt:
- Validity. Vouchers are valid for 30 days from the date of purchase.
- Cancellation & refunds. You may cancel your voucher and receive a full refund up to 2 days before the expiry date (i.e. by day 28). After that window has passed, vouchers are non-refundable.
- Redemption. Present your digital voucher (QR code or unique code) at the partner venue. Redemption is subject to the venue's availability and operating hours. CherryIt is not responsible for a venue's failure to honour a voucher.
- Transferability. Vouchers are personal to the purchaser and may not be resold or transferred.
- One-time use. Each voucher can be redeemed once. Once marked as redeemed it cannot be used again.
Important: After redemption you gain access to the campaign's community feed. Content you post there is subject to the Community section of these Terms.

Partner Business Terms
Partner businesses participate through an agreement with an influencer. By accepting vouchers at your venue you agree to:
- Honour the offer described in the campaign for the duration the campaign is active and for all valid, unredeemed vouchers until their expiry date.
- Use the partner dashboard only to mark vouchers as redeemed using the designated process. Fraudulent or erroneous redemptions are your responsibility.
- Not charge customers additional fees that are inconsistent with the advertised offer.
- Treat voucher holders with the same standard of service as any other customer.

Payments & Payouts
All payments are processed via Stripe. By making or receiving payments through the Service you agree to Stripe's Services Agreement.
- Revenue split. For each voucher sold, 70% of the net amount (after Stripe fees) is paid to the influencer and 30% is retained by CherryIt as a platform fee.
- Subscription fees. Influencer subscription fees are billed monthly in advance and are non-refundable except where required by law.
- Refunds. Eligible refunds to customers are processed back to the original payment method. CherryIt will claw back the influencer's 70% share for refunded vouchers.
- Taxes. You are responsible for determining and paying any taxes applicable to your use of the Service, including VAT/GST and income tax on payouts.
- Payout timeline. Each campaign runs for a maximum of 30 days. After a customer purchases a voucher, they have 30 days to redeem it — and may cancel and request a full refund up to 2 days before that voucher expires (i.e. by day 28). To protect against late cancellations and chargebacks, your earnings from a campaign become available for payout only after 60 days from the date of purchase of each voucher (30-day redemption window + 30-day settlement buffer). You can track your pending and available balance in your influencer dashboard.

User Content & Community
The Service allows users to post reviews, photos, and social media links in campaign community feeds. By submitting content you:
- Grant CherryIt a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content within the Service for as long as it remains on the platform.
- Confirm that you own or have the right to share the content and that it does not infringe any third-party rights.
- Agree not to post content that is defamatory, misleading, obscene, harassing, or otherwise unlawful.
We reserve the right to remove any content that violates these Terms or that we otherwise deem inappropriate, without notice.

Prohibited Conduct
You may not use the Service to:
- Create fictitious campaigns or vouchers for businesses that have not agreed to participate.
- Attempt to defraud CherryIt, influencers, partner businesses, or customers.
- Resell, transfer, or commercially exploit vouchers or your account.
- Circumvent, disable, or interfere with security features of the Service.
- Scrape, harvest, or collect data from the Service without our written consent.
- Violate any applicable law or regulation.

Limitation of Liability
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CherryIt disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
CherryIt is not liable for:
- Any failure by a partner business to honour a voucher.
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Any loss of profits, revenue, data, or goodwill.
Our total liability to you for any claim arising out of or in connection with these Terms or the Service will not exceed the amount you paid to us in the 12 months preceding the claim.

Termination
You may close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including breach of these Terms.
On termination: active vouchers purchased by customers remain valid and must be honoured by the relevant partner business until their expiry date. Any outstanding payout balance due to an influencer will be paid out subject to Stripe's settlement period.

Changes to These Terms
We may update these Terms from time to time. When we make material changes we will notify you by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
